General Conditions of Use

These Terms of Service, together with our Privacy Policy, govern your access to and use of the Nina Cuso website, boutique, and all related content, products, and services (the "Services"). The terms "Nina Cuso," "us," and "we" refer to Nina Cuso. Our store is hosted by Shopify, which provides the platform that allows us to offer the Services to you.

By visiting, browsing, or purchasing from Nina Cuso, you engage our Services and agree to be bound by these Terms and by our Privacy Policy. Please read them carefully. They set out important information about your rights and responsibilities, including warranty disclaimers and limitations of liability. If you do not agree to these Terms or our Privacy Policy, please do not use the Services.

The Terms that apply to your order are always the version you have read and accepted before placing your order, and not a later version.

Access and Your Account

By agreeing to these Terms, you confirm that you are at least the age of majority in your place of residence, and that you consent to any minor in your care using the Services on devices you own or manage.

To use the Services, including browsing our store or placing an order, you may be asked to provide certain information, such as your email address and your billing, payment, and shipping details. You agree that all information you provide is accurate, current, and complete, and that you have the right to provide it. You are responsible for the security of your account and for all activity under it. You may not transfer, sell, or assign your account to anyone else.

Our Pieces

We take great care to represent our pieces accurately. Color and finish may appear differently depending on your device and its settings, and we cannot guarantee that what appears on your screen will exactly match the piece you receive. All product descriptions are subject to change at any time, at our discretion. We may discontinue any piece, or limit the quantities offered to any person, region, or jurisdiction, on a case-by-case basis.

Orders

When you place an order, you are making an offer to purchase. Nina Cuso may accept or decline any order at its discretion, and your order is confirmed only once we have accepted it and processed your payment. Please review your order carefully before submitting, as we may be unable to accommodate changes or cancellations once an order is accepted. If we are unable to accept, need to change, or must cancel an order, we will try to reach you using the email, billing address, or phone number provided at the time of purchase.

We do not guarantee that every piece shown is in stock at the time of your order. Where a piece is unavailable, we will contact you shortly by email or phone.

By placing an order, you confirm that your purchase is for personal use and not for commercial resale or export.

Pricing and Payment

Prices, discounts, and promotions may change without notice. The price charged is the price in effect when your order is placed, as confirmed in your order confirmation email. Unless stated otherwise, prices do not include taxes, shipping, handling, customs, or import charges. Prices online may differ from those in our boutique or with third-party retailers. Where a promotion has its own terms, those terms govern in the event of any conflict with these Terms.

You agree to provide current, complete, and accurate payment and account information, and to keep it up to date so we can complete your orders and reach you when needed. You confirm that you are authorized to use the payment method provided, and that you will pay all charges incurred at the posted prices, including shipping and any applicable taxes.

Shipping and Delivery

Delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs, or other events beyond our control. Once your order is handed to the carrier, title and risk of loss pass to you.

Intellectual Property

The Services, including all trademarks, text, images, graphics, video, audio, and the design, selection, and arrangement of them, are owned by Nina Cuso, its affiliates, or its licensors, and are protected by U.S. and international intellectual property laws.

These Terms allow you to use the Services for personal, non-commercial purposes only. You may not reproduce, distribute, modify, create derivative works from, publicly display, republish, download, store, or transmit any material from the Services without our prior written consent. Nothing in these Terms grants you any license or right under any patent, trademark, or copyright of Nina Cuso, Shopify, or any third party, except as expressly stated. The Nina Cuso name, logos, and designs are trademarks of Nina Cuso and may not be used without our prior written permission. All other names and marks appearing on the Services belong to their respective owners. All rights not expressly granted are reserved.

Third-Party Tools and Links

From time to time we may give you access to third-party tools that we neither monitor nor control. These are provided "as is" and "as available," without warranties of any kind, and we accept no liability arising from your use of them. Your use of any optional third-party tool is at your own risk, and you should review the relevant provider's terms.

The Services may also contain links to websites operated by third parties. We are not responsible for the content or accuracy of these sites, and we are not liable for any loss arising from your use of them or any purchase you make through them. Any questions or claims regarding third-party products or services should be directed to the third party.

Our Relationship with Shopify

Nina Cuso is powered by Shopify, which provides the platform that allows us to offer the Services to you. Any purchase you make is made directly with Nina Cuso. You acknowledge that Shopify is not responsible for any aspect of the sale between you and Nina Cuso, including any injury, damage, or loss resulting from purchased products or services, and you release Shopify and its affiliates from all claims arising from your purchases and transactions with Nina Cuso.

Privacy

All personal information we collect through the Services is handled in accordance with our Privacy Policy, and certain information may also be subject to Shopify's Privacy Policy. Because the Services are hosted by Shopify, Shopify collects and processes information about your use of the Services in order to provide and improve them, and your information may be transmitted to and shared with Shopify and partners that may be located in countries other than your own. You understand that your content, not including payment card information, may be transferred unencrypted across various networks and adapted to the technical requirements of connecting devices. Credit and debit card information is always encrypted during transfer, and Nina Cuso does not store your card details unless you have approved otherwise.

Feedback

If you send us any ideas, suggestions, reviews, or other feedback ("Feedback"), you grant us a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, and display it in any medium, including for commercial purposes. You confirm that you own or have the rights to your Feedback, that it does not violate any third-party right, and that it contains nothing unlawful, abusive, or harmful. We are under no obligation to keep Feedback confidential, to compensate you for it, or to respond to it, and we may remove any Feedback at our discretion. You are solely responsible for the Feedback you provide.

Errors and Pricing Corrections

Occasionally, information on the Services may contain typographical errors, inaccuracies, or omissions relating to descriptions, pricing, promotions, shipping charges, or availability. We reserve the right to correct any error and to change or update information, or cancel an order, at any time without prior notice, including after an order has been submitted.

If you are ever charged an incorrect amount, we will contact you and offer the choice to:

• place a new order at the correct price,
• receive a refund for the difference, or
• cancel the order.

Acceptable Use

You may use the Services for lawful purposes only. You agree not to use the Services:

• for any unlawful or malicious purpose;
• to violate any applicable law or regulation;
• to infringe our intellectual property or that of others;
• to harass, abuse, defame, or harm any person;
• to transmit false or misleading information; or
• to send spam or other unsolicited material.

You also agree not to:

• collect or track the personal information of others;
• use any robot, spider, scraper, data-extraction tool, or AI or automated means to access the Services; or
• interfere with or circumvent the security features of the Services.

We may suspend, disable, or terminate your account at any time, without notice, if we believe you have violated these Terms.

Automated Agents

These Agent Terms apply if you use or enable any Agent to access or interact with the Services. An "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of a person, without direct supervision.

No Agent may access the Services unless it identifies itself and operates in accordance with the requirements below, and no Agent may access the Services if we have asked it to refrain. We may limit, including by technical means, how any Agent interacts with the Services. Agents must:

• identify each request as coming from an Agent and disclose the Agent's name in the request's user-agent string, in the form "Agent/[agent name]";
• not conceal that activity is automated, including by mimicking human behavior or by completing or circumventing CAPTCHAs or similar measures;
• respond truthfully to any prompt seeking to determine whether interactions come from a human; and
• not circumvent any measure intended to control how Agents access the Services.

Termination

We may terminate this agreement or your access to the Services at any time, at our discretion and without notice, and you will remain responsible for all amounts due up to the date of termination. The sections that by their nature should survive termination, including Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, and the General Provisions below, will continue to apply.

You agree to indemnify, defend, and hold harmless Nina Cuso, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any loss, damage, liability, or claim, including reasonable legal fees, arising out of your breach of these Terms, your violation of any law or third-party right, or your use of the Services. We will notify you of any such claim and may control its defense at your expense, and you agree to cooperate. We will not settle any claim that imposes a non-monetary obligation on you without your consent, which will not be unreasonably withheld.

General Provisions

Severability. If any provision of these Terms is found to be unlawful or unenforceable, it will be enforced to the fullest extent permitted and severed from the remaining provisions, which remain in effect.

Entire agreement and waiver. These Terms, together with any policies posted on our site, are the entire agreement between you and us regarding the Services, and supersede any prior agreements. Our failure to enforce any provision is not a waiver of it. Any ambiguity will not be construed against us as the drafting party.

Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent, and any attempt to do so is void. We may assign these Terms and our rights and obligations without notice to you.

Governing law. These Terms are governed by the laws of the jurisdiction in which Nina Cuso is headquartered, and you consent to the exclusive jurisdiction and venue of the courts located there.

Headings. Headings are for convenience only and do not affect the interpretation of these Terms.

Changes to These Terms

You can review the most current version of these Terms on this page at any time. We may update or replace any part of these Terms at our discretion by posting changes to our website, and it is your responsibility to review the page periodically. We will notify you of material changes in accordance with applicable law, and your continued use of the Services after changes are posted constitutes acceptance of them.
